Terms of Service

01 Acceptance of Terms

By creating an account or using Breakout Scout (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Breakout Paintball LLC, a Maryland limited liability company ("we," "us," or "our").

02 Eligibility

You must be at least 13 years old to use Breakout Scout. By using the Service, you represent and warrant that you meet this age requirement.

If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using the Service, you represent that you have the legal capacity to enter into a binding agreement.

03 Your Account

To use Breakout Scout you must create an account using a valid email address and an invitation code. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at matt@breakoutpaintball.com

You may not share your account credentials with others or create accounts on behalf of others without their consent.

04 The Service

Breakout Scout is a paintball scouting application that allows users to record, analyze, and share match data including player positions, kill markers, field layouts, and scouting notes.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

Some features of the Service require a paid Pro subscription. Free tier features may be limited or changed over time.

05 Subscriptions & Payments

Pro Subscription. Breakout Scout Pro is available as a recurring subscription. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Billing. Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. All fees are in US dollars and are non-refundable except as required by law.

Cancellation. You may cancel your subscription at any time through the app or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain Pro access until that date.

Price changes. We may change subscription prices with at least 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new price.

Gifted access. Accounts with gifted Pro access are subject to the terms of the gift at the time it was granted. Gifted access is non-transferable.

Apple App Store. If you subscribe through the iOS App Store, your subscription is managed by Apple and subject to Apple's Terms of Service. Refunds for App Store purchases must be requested through Apple.

Payment processing. Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's terms of service.

06 Your Content

You retain full ownership of all scouting data, match records, notes, and other content you create within Breakout Scout ("Your Content").

By using the Service, you grant Breakout Paintball LLC a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely for the purpose of operating the Service for you.

You are responsible for ensuring Your Content does not violate any third-party rights or applicable laws. We do not review user content and are not responsible for it.

When you use the share feature to share a match or merge with another user, you acknowledge that the recipient will be able to view and save that content.

07 Acceptable Use

You agree not to use Breakout Scout to:

• Violate any applicable local, state, national, or international law
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts or bots to access the Service
• Interfere with or disrupt the integrity or performance of the Service
• Share your invite code publicly or distribute it in a way that violates our invite system
• Use the Service for any commercial purpose without our prior written consent

Violation of these rules may result in immediate account suspension or termination.

08 Intellectual Property

Breakout Scout, including its design, code, features, and branding, is owned by Breakout Paintball LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

The Breakout Paintball name, logo, and Breakout Scout name are trademarks of Breakout Paintball LLC.

09 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any data loss resulting from technical failures, although we take reasonable steps to prevent such occurrences.

Scouting data and AI-generated reports produced by the Service are provided for informational purposes only. We make no representations about their accuracy or fitness for competitive use.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREAKOUT PAINTBALL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11 Termination

You may terminate your account at any time by deleting it within the app or by contacting us at matt@breakoutpaintball.com.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, disclaimers, limitation of liability, and governing law survive termination.

12 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.

13 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice in the app. The effective date at the top of this page reflects the most recent update.

Your continued use of Breakout Scout after updated Terms are posted constitutes your acceptance of the changes.
